Exclusive Host Program Terms

These Exclusive Host Program Terms (the "Exclusive Terms") supplement and are incorporated into the Marigold Business Terms of Use (the "Business Terms"). The Exclusive Terms apply when a Business voluntarily enrolls in the Marigold Exclusive Host Program (the "Exclusive Host Program"). Capitalized terms not defined in these Exclusive Terms have the meanings given to them in the Business Terms.

Please read these Exclusive Terms carefully. By clicking "Agree and enroll," checking a box referencing these Exclusive Terms, or otherwise enrolling in the Exclusive Host Program, you indicate your acceptance of these Exclusive Terms and re-confirm your acceptance of the Business Terms.

1     Program Eligibility.

1.1 Business-Wide Enrollment. Enrollment in the Exclusive Host Program applies to the Business as a whole, including all Experiences and dates offered by the Business, and not only to a selected Experience or date.

1.2 Exclusive Availability. To enroll and remain enrolled, the Business represents and warrants that guests cannot list, book, purchase, or pay for any of the Business's Experiences outside the Marigold Platform. Availability through the Business's own website, another marketplace, private bookings, social-media bookings, direct payments, telephone or email bookings, or walk-ins will be considered availability outside the Marigold Platform, whether or not any such channel has completed a sale.

1.3 Continuing Representation. The Business represents that the requirements in this Section 1 are satisfied at the time of enrollment and will remain satisfied for the duration of enrollment. The Business must unenroll before listing, offering, booking, selling, or accepting payment for any Experience through any channel outside the Marigold Platform.

2     Exclusive Host Program Benefits.

2.1 Host-Fee Waiver. While enrollment is active, Marigold will waive one hundred percent (100%) of Marigold's host fee on bookings placed through the Marigold Platform. Enrollment does not change guest-side service fees, payment-processing costs, taxes, or which party bears those costs under the Business's applicable fee settings.

2.2 Promotional Fee Waivers. Exclusive Host Program pricing does not stack with any promotional host-fee waiver. Exclusive Host Program pricing will take precedence while enrollment is active. Any promotional period will continue to run independently and may expire during enrollment. If the Business unenrolls while a separate promotional host-fee waiver remains active, that promotional waiver may resume for the remainder of its original term, subject to its applicable conditions.

2.3 No Guaranteed Duration. Enrollment does not guarantee that any benefit, including the host-fee waiver, will remain available for any minimum period. Marigold may modify, suspend, or discontinue the Exclusive Host Program or any related benefit as provided in these Exclusive Terms.

3     Enrollment and Unenrollment.

3.1 Enrollment Period. Enrollment becomes effective when Marigold accepts the Business's enrollment request and will remain active until the Business unenrolls or Marigold suspends or revokes enrollment. The Business is not required to re-confirm enrollment each month unless Marigold presents updated terms requiring renewed acceptance.

3.2 Voluntary Unenrollment. The Business may unenroll at any time through the Marigold Platform. Unenrollment affects future bookings only. Completed transactions and bookings placed while enrollment was active will not be recalculated solely because the Business later unenrolls.

3.3 Outside Availability. The Business must complete unenrollment before making an Experience available outside the Marigold Platform. Unenrollment after outside availability begins does not cure an earlier violation of these Exclusive Terms.

4     Verification, Suspension, and Revocation.

4.1 Verification. The Exclusive Host Program operates principally on the Business's representations. Marigold may review publicly available information or request information reasonably related to the Business's continuing eligibility. The Business agrees to provide accurate and complete information in response to any such request.

4.2 Suspension or Revocation. Marigold may suspend or revoke enrollment and related benefits at any time, with or without prior notice, including if Marigold determines that the Business no longer satisfies the program requirements, provided inaccurate or incomplete information, misused a program benefit, or acted inconsistently with these Exclusive Terms or the Business Terms.

4.3 Effect of Suspension or Revocation. Suspension or revocation will affect future bookings and will not recalculate completed transactions unless Marigold determines that a correction is reasonably necessary to address fraud, abuse, error, or a violation of these Exclusive Terms. Marigold's other rights and remedies under the Business Terms remain unchanged.

5     Business Representations and Consent.

The individual accepting these Exclusive Terms represents and warrants that the individual has authority to bind the Business. The Business acknowledges that Marigold may retain the date and time of acceptance, the version and text accepted, and related technical information for its business records. Each enrollment or re-enrollment requires a new acceptance of the version of these Exclusive Terms then presented by Marigold.

6     Relationship to the Business Terms.

The Business Terms remain in full force and effect. If these Exclusive Terms directly conflict with the Business Terms solely with respect to participation in the Exclusive Host Program, these Exclusive Terms will control to the extent of that conflict. The dispute-resolution, warranty-disclaimer, liability-limitation, indemnification, notice, severability, survivability, and governing-law provisions of the Business Terms apply to these Exclusive Terms.
