Boost Program Terms
These Boost Program Terms (the "Boost Terms") supplement and are incorporated into the Marigold Business Terms of Use (the "Business Terms"). The Boost Terms apply when a Business purchases promotional services from Marigold for an approved Experience (the "Boost Services"). Capitalized terms not defined in these Boost Terms have the meanings given to them in the Business Terms.
Please read these Boost Terms carefully. By clicking "Continue to payment," checking a box referencing these Boost Terms, or otherwise purchasing Boost Services, you indicate your acceptance of these Boost Terms and re-confirm your acceptance of the Business Terms.
1 Boost Services.
1.1 Promotional Services. Boost Services may include enhanced placement on the Marigold Platform, email or social-media promotion, paid advertising, creative support, or other promotional activities selected by Marigold. Marigold may identify an Experience receiving paid placement on the Marigold Platform as "Sponsored."
1.2 Separate Service. Boost Services are separate from the Exclusive Host Program. A Business is not required to participate in the Exclusive Host Program to purchase Boost Services, and purchasing Boost Services does not enroll the Business in the Exclusive Host Program.
1.3 Eligibility and Availability. Only Marigold-Approved Businesses may purchase Boost Services. Marigold may accept or reject a request for Boost Services in its sole discretion and may limit the number of active Boost Services available to a Business or Experience.
2 Boost Types and Scope.
2.1 One-Time Boost. A one-time Boost applies to one approved Experience and may include up to three eligible dates selected by the Business and accepted by Marigold.
2.2 Monthly Boost. A monthly Boost applies to one approved Experience and its eligible upcoming dates during the applicable paid service period. A monthly Boost will automatically renew as provided in Section 4.
2.3 Campaign Limits. A Business may have no more than three active Boost Services at one time. A Business may not purchase overlapping active Boost Services for the same Experience. Marigold may decline, consolidate, postpone, or cancel a requested Boost Service that conflicts with another campaign or cannot reasonably be fulfilled.
2.4 Lead Time. Eligible Experience dates must generally be at least five days after the purchase date. Campaign timing remains subject to Marigold's review, channel availability, Experience availability, and any additional requirements displayed before purchase.
3 Fees and Allocation.
3.1 Purchase Price. The price, billing frequency, Experience, service period, and other material purchase details will be displayed to the Business before purchase. Unless otherwise displayed by Marigold, one-time Boosts are available from $99 through $4,000 and monthly Boosts are available from $199 through $7,500 per month.
3.2 Management Fee. Marigold may retain up to twenty percent (20%) of the purchase price as a campaign management fee. The management fee applicable to a purchase will be displayed before payment and recorded with the purchase. During a limited-time promotional period, Marigold may waive the management fee. A waiver applies only to the purchase for which it is displayed and does not obligate Marigold to waive management fees on any future purchase or renewal.
3.3 Promotional Allocation. The portion of the purchase price not retained as a management fee may be allocated to promotion, advertising, placement, creative support, third-party services, or other campaign costs selected by Marigold. The Business acknowledges that this allocation is not a deposit into an advertising account owned or controlled by the Business.
3.4 Taxes and Payment Processing. Taxes and payment processing are governed by Section 7 of the Business Terms. The Business authorizes Marigold and its payment processor to charge the payment method selected at checkout for the displayed purchase price and any applicable taxes.
4 Monthly Renewals and Cancellation.
4.1 Automatic Renewal. A monthly Boost will automatically renew at the price and frequency displayed at checkout until canceled. By purchasing a monthly Boost, the Business authorizes Marigold and its payment processor to charge the selected payment method for each renewal without obtaining additional authorization for each charge.
4.2 Cancellation. The Business may cancel a monthly Boost through the functionality made available by Marigold. Cancellation will prevent charges for future renewal periods but will not terminate or automatically refund the then-current paid service period. The Business remains responsible for charges incurred before cancellation takes effect.
5 Campaign Administration.
5.1 Marigold Control. Marigold will determine, in its sole discretion, the advertising channels, campaign strategy, audience targeting, geographic targeting, timing, pacing, placement, creative adjustments, and allocation of amounts paid for Boost Services. Marigold may move amounts among campaign channels or dates when Marigold reasonably believes doing so will support the campaign objective or permit fulfillment of the Boost Services.
5.2 Business Inputs. The Business will provide the campaign objective, applicable Experience, requested target area, accurate dates and availability, and any Business Content reasonably requested by Marigold. The Business will promptly notify Marigold of any change that may affect the campaign, including a cancellation, sellout, schedule change, price change, or material change to the Experience.
5.3 Campaign Changes. The Business may request changes within forty-eight hours after purchase. The Business may waive that change period and authorize Marigold to begin work as soon as the campaign is reviewed. Requested changes are not guaranteed after Marigold begins work, commits funds, or submits materials to a third party.
6 Business Content.
The Business represents and warrants that it owns or has obtained all rights necessary for Marigold to use, modify, reproduce, distribute, publicly display, and otherwise use any Business Content supplied for Boost Services. The Business grants Marigold a worldwide, royalty-free, sublicensable license to use and adapt such Business Content for the applicable campaign and related reporting. The Business remains solely responsible for the accuracy, legality, and completeness of its Business Content and campaign claims.
7 No Guaranteed Results.
Marigold does not guarantee any minimum number of bookings, attendees, impressions, engagements, clicks, leads, sales, revenue, or any return on advertising spend. Marigold does not guarantee any particular advertising channel, audience, placement, position, or campaign duration. The Business acknowledges that campaign performance may be affected by factors outside Marigold's control, including audience demand, pricing, availability, competition, third-party platforms, and the quality and timing of materials supplied by the Business.
8 Refunds, Suspension, and Termination.
8.1 Refunds. Except as expressly displayed by Marigold before purchase or required by applicable law, amounts paid for Boost Services are non-refundable as provided in Section 7.1 of the Business Terms. Marigold may, in its sole discretion, issue a refund or credit for unspent and uncommitted amounts, less nonrefundable third-party costs.
8.2 Suspension or Termination. Marigold may pause, postpone, modify, or terminate Boost Services if the Business provides inaccurate information, fails to maintain Experience availability, violates these Boost Terms or the Business Terms, creates legal or brand-safety concerns, or if a third-party channel rejects or restricts the campaign. Marigold may also suspend Boost Services while a payment is overdue, disputed, reversed, or otherwise unsuccessful.
9 Campaign Kickoff.
A Business purchasing Boost Services with a purchase price of at least $499 may request one complimentary twenty-minute campaign kickoff. This benefit is available once per Business, has no cash value, is nontransferable, and does not renew with a monthly Boost. Scheduling remains subject to Marigold's availability.
10 Business Representations and Consent.
The individual accepting these Boost Terms represents and warrants that the individual has authority to bind the Business and authorize the applicable payment. The Business acknowledges that Marigold may retain the date and time of acceptance, the version and text accepted, the displayed purchase details, and related technical information for its business records. Each new purchase requires acceptance of the version of these Boost Terms then presented by Marigold.
11 Relationship to the Business Terms.
The Business Terms remain in full force and effect. If these Boost Terms directly conflict with the Business Terms solely with respect to Boost Services, these Boost Terms will control to the extent of that conflict. The dispute-resolution, warranty-disclaimer, liability-limitation, indemnification, notice, severability, survivability, and governing-law provisions of the Business Terms apply to these Boost Terms.
